STANDARD TERMS AND CONDITIONS OF SALE
Ming Kee Drainage Engineering Company Limited
1. Applicability of Terms
These Standard Terms and Conditions of Sale (“Terms”) govern all sales and services provided by Ming Kee Drainage Engineering Company Limited (“Ming Kee”). Any conflicting terms proposed by the client are hereby expressly rejected unless agreed upon in writing by both parties.
2. Payment Terms
2.1. All invoices are payable within 21 working days, unless otherwise stated on the invoice or agreed in writing.
2.2. In the event of late payment, Ming Kee reserves the right to charge a fixed interest fee of 10% on the outstanding balance.
2.3. Ming Kee may suspend the provision of services without prior notice in cases of overdue payments.
3. Debt Recovery
3.1. If payment remains outstanding for more than 60 days after the due date, Ming Kee reserves the right to engage a debt recovery agency.
3.2. All costs associated with debt recovery, including legal fees, will be the sole responsibility of the client.
4. Tax Obligations
4.1. Any taxes, levies, or withholdings imposed by the client’s local jurisdiction are the sole responsibility of the client.
4.2. The total invoice amount must be paid in full to Ming Kee without deductions related to any tax or legal obligations in the client’s country.
5. Service Delivery
5.1. Ming Kee commits to providing high-quality services and adhering to agreed timeframes. However, no obligation is considered a guarantee of results.
5.2. Ming Kee will not be held liable for damages caused by circumstances beyond its reasonable control, including delays or interruptions in service delivery.
6. Client Claims
6.1. Any claims regarding goods or services must be made in writing and delivered to Ming Kee’s registered office within 8 days of the delivery date.
6.2. Claims received after this period will not be considered.
7. Exclusion of Liability
7.1. Ming Kee cannot be held liable for damages claimed by third parties or end consumers arising from the client’s use of the provided goods or services.
7.2. Ming Kee’s obligations are limited to the scope of the contract with the client and do not extend to third-party claims.
8. Governing Law
8.1. All transactions and contracts will be governed exclusively by the laws of Hong Kong.
8.2. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Hong Kong.
9. Entire Agreement
These Terms represent the complete agreement between Ming Kee and the client and supersede any prior agreements, whether written or oral. Any amendments to these Terms must be made in writing and signed by both parties.
